What was Bachmann Springs, before it changed its name to Green Life Springs?
The Bachmann Springs website at

The blurb says that pile of
masonry's "timeless beauty will be enhanced by the classic elements of
balance, proportion, and symmetry." If "classic" means something
that Nero, Caligula or Donald Trump might slap together, the Bachmann
Springs Palace filled the bill.

On November 30, 2007,
Bachmann Springs's incorporation papers were amended: "The name
of the limited liability company is GREEN LIFE SPRINGS HOLDINGS,
LLC." See

That document wasn't filed with the Arizona Corporation Commission until May 14, 2008. News of the name change wasn't spread around. The Bachmann Springs website at

doesn't mention the name change, or have a link to the Green Life Springs website at

After the name change, there were some changes to personnel. On August 18, 2009, Thomas T.
Bachmann, signing as manager of Green Life Springs Holdings, LLC, made
an amendment to its articles of incorporation: "Management of the
limited liability company is vested in a designated manager whose name
and address is JACK LASSEN, 601 Fremont Street, Tombstone Arizona
85638. The name and address of the member who owns a twenty percent or
greater interest in the capital or profits of the limited liability
company is Bachmann, Ltd., 123 South Fifth Street, Tombstone, Arizona,
85638." See

On
October 2, 2009, Thomas Bachmann, signing as a "Duly Authorized
Member" of Green Life Springs, named a new "statutory agent" (a person
who will accept service of the complaint if a corporation is sued),

Hall, of 7150 E. Camelback Road #333, Scottsdale, Arizona 85251.

County government doesn't
appear to have kept up with these changes until recently.
The Board Of Supervisors meeting agendas for February 23 and
March 23, 2010, included an item about "Bachmann Springs." Each
time, the item was tabled. The item came up again
on April 27, again as "Bachmann Springs," and finally the Planning
Department told the Supervisors that the name had changed, though the
minutes do not give the new name. The item was tabled again,
for May 25. On May 25, the agenda again referred to
"Bachmann Springs." The item has been tabled again, to one of the
meetings in June. There's no meeting set for June 1, so June 8
will be the first meeting at which "Bachmann Springs" can be discussed,
under that name or under the "Green Life Springs" name which the
project has used for two years.

mentions the Bachmann
name only once, that I've caught, and then in a way that doesn't
exactly reveal the connection between Bachmann and Green Life Springs.
The page at

includes "Green Life Springs encompasses 1,710 acres, surrounded by
12,500 acres of the Bachmann Ranch and almost completely surrounded by
250,000 acres of federal and state land." That wording is
interesting for another reason, too: the equivalent page on the
original "Bachmann Springs" website, at
http://www.bachmannsprings.com/sun/location/index.html?1
says "the 1,700-acre enclave is almost completely surrounded by 250,000
acres of federal and state land," without mentioning a 12,500 acre
ranch.
There are other differences between the Green Life Springs website and
the Bachmann Springs site, mainly in scaling back the "palatial hotel"
to "hotel villas," and changing the architectural style of
the planned buildings. Now, instead of a hybrid between
Trimalchio's Tomb, Caligula's stables, and Trump's casinos, the
planned buildings look vaguely like the main terminal at JFK Airport in
NYC, but shinier.
Money for this safe zone for the super-rich has been hard to come by and keep.
The project was approved in
2000.
Financing first collapsed in 2001.
December 16, 2003 BOS minutes: nothing has been built, and the developers wanted more time to round up money.
"One condition of
the approval granted in April of 2000 was that substantial progress
toward completion of the project must occur by April 2004....
[N]o on-site or off-site improvements have been made .... in
2001, a majority shareholder in the joint financing withdrew. For
the past 32 months ... the developers have been seeking new
funding. They have just acquired that funding and expect to
finalize the agreement in January....
"Supervisor Newman
made a motion ... to extend the approval ... to May 1, 2008. The
motion carried unanimously."
September 26, 2006 minutes:
"Supervisor Newman
made a motion to approve ... a tentative plat and waiver request for
the Bachmann Springs Subdivision ....
"Chairman Searle called for the vote and the motion carried unanimously."
That waiver request may have
come from Hill International, the 18th largest construction consulting
firm in the world. On April 27, 2006, Hill issued a press release
stating it "has been selected by Bachmann Springs Holdings, LLC to be
the program manager for the Bachmann Springs development.... Hill
will be responsible for overseeing the entire development program."
May 23, 2007, Hill International "filed a
Demand for Arbitration with the American Arbitration Association
alleging breach of contract, breach of the covenant of good faith and
fair dealing, unjust enrichment and/or fraudulent inducement against
Bachmann Springs Holdings, LLC and Thomas Bachmann (hereinafter,
collectively 'Bachmann'). The Company was hired by Bachmann to
provide professional support services and was demanding payment ... of $634,904." See

July 24, 2007 minutes, BOS action item:
"... approval of a Final Plat for Bachmann Springs ....
"... The developer will have 3 years to complete the improvements....
"The applicant, Mr. Jay Boland ... indicated that construction would begin in the fall....
"Chairman Searle called for the vote. The motion carried with two voted, Supervisor Newman being absent."
That was, of course, a
few months after Hill went to arbitration against Bachmann
Springs. On October 17, 2007, in the arbitration, "Bachmann filed
a counterclaim ... alleging fraud and breach of contract and seeking
damages in the amount of $8,600,000. The matter was settled on
June 12, 2008 wherein Bachmann agreed to pay the Company $500,000
within 90 days after the settlement date, $700,000 within 150 days or
$800,000 thereafter. Due to uncertainty surrounding the
collection, the Company fully reserved in the fourth quarter of 2008
all amounts due from Bachmann." See

Eventually, to collect the $800,000, Hill sued Bachmann in federal
court in Arizona. In January 2009, Hill won judgment against
"Bachmann Springs Holdings, LLC n/k/a Green Life Springs Holdings, LLC
and Thomas Bachmann". The judgment was for "$800,000 plus
interest, fees and costs." On July 27, 2009, Bachmann's attorney
said he "is a Swiss national residing in Zurich," "is not subject to
service because he is a foreign national residing outside the U.S.",
and must be served "in the manner prescribed by the Hague
Convention." One wonders how our County attorneys would do in
such a complicated case.

Bachmann Springs Holdings LLC went into default on a financing agreement in the Bahamas:
"A Louisiana-based law firm has sued attorney Paul
Moss over his alleged refusal to return to a group of investors $1.1
million that had been forwarded to him for an escrow account ... as
part of an investment deal that eventually went sour.
"According to the statement of claim filed on behalf
of Daniel D. Holliday ... Moss and his firm ... entered into an
agreement governing the escrow account in October 2008.
"Other parties to the agreement [included] Bachmann Springs Holdings LLC ....
"According to the court document ... should Holliday
receive notice ... that Bachmann is in breach of the terms of the
agreement [and does not cure the default], the firm would immediately
notify ... Moss [who] was obligated to release the transferred funds
within 48 hours to Holliday ....
"The document also alleges that by letter dated July
15, 2009, counsel for Holliday wrote to Moss and his firm demanding the
immediate transfer of the funds 'as per the terms of the agreement',
but Moss and his firm failed to comply ...."
Of course, that suit does not allege wrongdoing by Bachmann, it only
alleges that Bachmann Springs Holdings LLC went into default, and that
the attorney who was supposed to pay out $1.1 million in escrow
wouldn't do it. Again, one wonders how our County attorneys would
do in such a case.
The current request for another
3-year extension was brought up on February 23, 2010, and tabled; brought up
on March 23 and tabled again; and brought up again on April 27, and
tabled again. From the April 27 minutes:
"Adopt Resolution 10-09, approving a three year time extension (to March 7, 2013) ....
"Supervisor Call made a motion to remove item 8 from the table .... it carried unanimously.
"... the applicant
had requested the item be retabled to the May 25, 2010 meeting.
They are negotiating the finances and they have changed their name....
"Vice-Chairman Searle made a motion to table .... it carried unanimously."
When the May 25 meeting rolled around, the item was on the agenda --
and was tabled again until June. All the County information

Meanwhile, over $38,000 in back taxes hasn't been paid on the real estate involved. The Cochise County delinquent
tax list
here
lists many delinquent properties on pages 87-90, 127-130, and
262, summarized in Exhibit 1 at the end of this article.
Whether or not Thomas Bachmann could use his own money is an interesting question. In 2008, an article at
http://www.hauteliving.com/ny/keeping-up-with-the-bachmans
said that Thomas bought a
Boeing Business Jet (about $50 million) for ease of travel between his
homes in Los Angeles, the Bahamas, and Switzerland. Then he
customized its interior (a typical custom interior costs about $15
million). He wanted a quiet desk. It took $250,000 to
design the desk, and another $250,000 to build it. That's
$500,000. Perhaps Bachmann could scrape up some coins for
Bachmann Springs if he really wanted to.
However, an attorney representing Bachmann Springs in the California
case that resulted in an $800,000 judgment against Thomas Bachmann said that Bachmann Springs was
"experiencing financial difficulties such that it cannot meet the
judgment". That attorney did not represent Bachmann himself,
however, so it would be unfair to conclude anything about Bachmann's
personal finances from that statement.
And Bachmann's personal
finances may be in flux themselves. In the $800,000
judgment case, an attorney representing Bachmann
Springs said on July 27, 2009, that Thomas's wife Farideh "is separated
from Mr. Bachmann; indeed they live entirely separate lives on opposite
sides of the world."
If this project hasn't been
able to keep investors after trying for ten
years, is it really as attractive as the Supervisors were told, and
couldn't the County Supervisors be using their power in ways that would help
the people of Cochise County more?
For instance, the people in
Cochise County need a safe border. But Supervisor Richard Searle,
who voted to declare a border emergency in 2005, says he never meant to
actually use any emergency powers. So what if Cochise County
residents get burglarized, beaten up, or shot to death once in a
while? Using power responsibly is hard; it's much easier to pass
the buck to federal and state politicians.
And Cochise County government
is 1) in the middle of a huge budget crisis while 2) carrying lots of
jobs that were created just before the economy started falling
apart. Getting rid of the bloat is one obvious way to help solve
the crisis. One Supervisor, Pat Call, from Sierra Vista, is at
least making noises as if he understands the problem. See, and

But Supervisor Ann English says
she wants to keep every County job slot filled. Thinking about
responsible change is hard; it's much easier to play ostrich.
But the people of Cochise County sure could use a break from
Supervisors who get all starry-eyed when multimillionaires come calling.
